1. Agreement to Terms

By accessing or using MemoReps ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

MemoReps is operated by MemoReps ("we," "us," or "our"). These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

MemoReps is a web application that converts PDF documents into Anki-style flashcards using artificial intelligence. Our Service includes:

  • PDF text extraction and processing
  • AI-powered flashcard generation
  • Flashcard deck management and storage
  • Spaced repetition study tools
  • Anki deck export (.apkg format)
  • Multiple AI model options (subject to plan limits)

3. Account Registration

3.1 Account Creation

  • You may use the Service anonymously for a one-time trial
  • To access additional features, you must create an account using Google or GitHub OAuth
  • You must provide accurate and complete information
  • You are responsible for maintaining the security of your account
  • You must be at least 13 years old to create an account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage from your failure to maintain account security.

4. Subscription Plans and Billing

4.1 Plans

  • Anonymous Trial: 1 generation, 10,000 character limit, 10 flashcard limit
  • Free Plan: 5 generations/month, 20,000 character limit, 20 flashcard limit
  • Pro Plan: Unlimited generations, 50,000 character limit, 100 flashcard limit, all AI models

4.2 Billing

  • Pro subscriptions are billed monthly at $10/month
  • Billing is handled securely through Stripe
  • Payments are non-refundable except as required by law
  • You may cancel your subscription at any time
  • Upon cancellation, you retain access until the end of your billing period
  • We reserve the right to change pricing with 30 days notice

4.3 Free Trial

The anonymous trial is limited to one use per device/browser. We use fingerprinting technology to enforce this limit. Attempting to circumvent usage limits may result in account suspension.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload content that infringes on intellectual property rights
  • Upload malicious files or attempt to compromise the Service
  • Attempt to circumvent usage limits or security measures
  • Use automated tools to abuse the Service (bots, scrapers)
  • Share your account credentials with others
  • Resell or redistribute generated content as a service
  • Upload content containing personal information of others without consent
  • Use the Service to generate harmful, offensive, or illegal content

6. Content and Intellectual Property

6.1 Your Content

  • You retain ownership of all content you upload
  • You grant us a license to process your content to provide the Service
  • You are responsible for ensuring you have rights to upload and process the content
  • We do not claim ownership of flashcards generated from your content

6.2 Our Intellectual Property

The Service, including its design, code, algorithms, and branding, is owned by MemoReps and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6.3 AI-Generated Content

Flashcards are generated using third-party AI services (OpenAI, Anthropic, Groq, Google). The quality and accuracy of generated content is not guaranteed. You should review all generated flashcards before use.

7. Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted access
  • We may perform maintenance that temporarily affects availability
  • We reserve the right to modify or discontinue features with notice
  • AI service availability depends on third-party providers

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding accuracy or reliability of content
  • Warranties that the Service will be error-free or secure

You use the Service at your own risk. We do not guarantee the accuracy of AI-generated flashcards.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMOREPS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from use or inability to use the Service
  • Damages resulting from reliance on AI-generated content

Our total liability shall not exceed the amount you paid us in the past 12 months, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless MemoReps from any claims, damages, losses, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) content you upload.

11. Termination

  • You may close your account at any time
  • We may suspend or terminate your account for violations of these Terms
  • Upon termination, your access to saved content will be removed
  • We may retain certain data as required by law or legitimate business purposes

12. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court.

You waive any right to participate in class action lawsuits or class-wide arbitration.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a notice on the Service. Continued use after changes constitutes acceptance of the new Terms. If you disagree with changes, you must stop using the Service.

14. Miscellaneous

  • Severability: If any provision is found unenforceable, the rest remains in effect
  • Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign these Terms; we may assign them to a successor
  • Entire Agreement: These Terms constitute the entire agreement between you and MemoReps
